Cyclops Binary License Agreement

1. Grant of License

Licensor grants Licensee a non-exclusive, non-transferable, perpetual license to install and run one (1) copy of the Software on a single designated server machine ("Licensed Server"). The Licensed Server may be multi-core but must be a single physical or virtual machine.

Each purchase of the Software entitles Licensee to run it on exactly one server. To run the Software on additional servers, Licensee must purchase a separate license for each server. When purchasing, Licensee should identify each server by including a server name or designation alongside the customer name (e.g. "Jane Smith 342200224 production-server-1").

This licensing model is enforced through a combination of digital watermarking and the honor system. The Software displays a startup banner identifying the licensed purchaser.

2. Digital Watermark

Each copy of the Software contains an RSA-encrypted digital watermark identifying the original Licensee. The watermark encodes the Licensee342200231s name (including server designation), email address, purchase transaction ID, and date of purchase. This watermark is verified at startup and displayed in the console banner. It is intended to deter casual misuse and support the one-server-per-license honor system.

3. Restrictions

Licensee shall not:

• Install or run the Software on more servers than the number of licenses purchased
• Redistribute, sublicense, rent, lease, or lend the Software to any third party
• Attempt to remove, alter, or circumvent the digital watermark or startup banner
• Reverse-engineer, decompile, or disassemble the Software, except as permitted by applicable law
• Use the Software in any manner that violates applicable laws or regulations

4. Intellectual Property

The Software is the intellectual property of Genworks International and its licensors, including Franz Inc. (Allegro Common Lisp runtime) and Solid Modeling Solutions, Inc. (SMLib geometry kernel). All rights not expressly granted herein are reserved.

5. Disclaimer of Warranties

The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and noninfringement. Licensor does not warrant that the Software will be error-free or uninterrupted.

6. Limitation of Liability

In no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Software, even if advised of the possibility of such damages. Licensor342200231s total liability shall not exceed the amount paid for the Software.

7. Support

This purchase does not include guaranteed support, updates, or service-level commitments. Support may be offered separately at Licensor's discretion.

8. Termination

This Agreement is effective until terminated. Licensor may terminate this Agreement if Licensee breaches any term, including operating the Software on more servers than licensed. Upon termination, Licensee must destroy all copies of the Software.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to conflict of law principles.
